These Terms & Conditions ("Terms") govern access to and use of the WhatsWhat Prime platform ("Platform"), operated by WhatsWhat Global Ltd, a company incorporated in Ireland ("Company", "we", "us", "our").
By accessing or using the Platform, you agree to be legally bound by these Terms.
If you do not agree, you must not use the Platform.
1. Structure of the Platform
The Platform operates under two distinct structural layers:
A. Prime Authority (Non-Commercial Layer)
- Prime Magazine (Editorial – No Advertising Influence)
- Visibility Assessment™
- Visibility Ladder™
- Visibility Index™
- Governance & Oversight Systems
B. Prime Market Network (Commercial Layer)
- Marketplace
- Sponsored Visibility
- Product Exposure
- Tender Highlights
- Visibility Marketplace Digest
These layers operate independently.
Commercial participation does not influence Authority positioning.
2. Nature of Services
WhatsWhat Prime provides:
- Structured visibility infrastructure
- Evaluation and positioning tools
- Commercial visibility channels
- Marketplace functionality
The Platform does not provide:
- Financial advice
- Investment advice
- Revenue guarantees
- Ranking guarantees
- Market dominance guarantees
Visibility is structured and reinforced — not sold.
3. User Accounts
Users must:
- Provide accurate and lawful information
- Maintain account security
- Use the Platform in good faith
We reserve the right to suspend or terminate accounts for:
- False information
- Governance misuse
- Non-payment
- Breach of these Terms
- Activity that damages Platform integrity
4. Prime Authority Terms
4.1 Prime Magazine
Inclusion in Prime Magazine:
- Is based on editorial evaluation
- Is not automatically granted through payment
- Is subject to independent editorial discretion
No payment guarantees editorial inclusion.
The Company retains full editorial independence.
4.2 Visibility Assessment™
The Visibility Assessment™:
- Is a structured evaluation tool
- Is based on defined criteria
- May evolve over time
- Does not guarantee revenue or rankings
Users may not:
- Claim guaranteed Ladder advancement
- Misrepresent Assessment results
- Suggest Prime endorsement without written consent
4.3 Visibility Ladder™
Ladder positioning:
- Reflects structured evaluation
- May change based on updated data
- Is not sold or guaranteed
- Does not create exclusivity
The Company reserves the right to modify evaluation criteria to maintain system integrity.
4.4 Visibility Index™
The Visibility Index™ records structured business data.
Index inclusion:
- Does not imply endorsement
- Does not guarantee performance
- May be updated or corrected
We reserve the right to remove inaccurate or misleading data.
5. Prime Market Network Terms
5.1 Marketplace
The Marketplace enables commercial listings.
The Company:
- Provides infrastructure only
- Is not party to transactions
- Is not responsible for product quality
- Is not liable for disputes between buyers and sellers
Users are solely responsible for their transactions.
5.2 Sponsored Visibility
Sponsored placements:
- Are paid commercial exposure
- Are clearly labelled
- Do not influence Visibility Assessment outcomes
- Do not alter Ladder positioning
Sponsored visibility does not imply editorial endorsement.
5.3 Product Exposure & Tender Highlights
Commercial announcements:
- Must be lawful
- Must not be misleading
- Must not imply Authority endorsement
The Company may remove any listing at its discretion.
5.4 Visibility Marketplace Digest
The Visibility Marketplace Digest is a commercial communication channel.
Content within the Digest:
- Is promotional in nature
- Is separate from Prime Magazine
- Does not influence Authority positioning
Commercial participation in the Digest does not affect Ladder status.
6. Separation Principle
The Platform maintains strict separation between: Prime Authority and Prime Market Network.
No commercial activity influences:
- Editorial decisions
- Assessment scoring
- Ladder positioning
- Visibility Index documentation
This separation is fundamental to the Platform's integrity.
7. Intellectual Property
All proprietary systems, including:
- Visibility Ladder™
- Visibility Assessment™
- Visibility Index™
- Signal Page frameworks
- AI infrastructure
- Governance methodologies
Remain the exclusive intellectual property of WhatsWhat Global Ltd.
Users may not:
- Reverse engineer
- Replicate
- Create derivative frameworks
- Resell proprietary methodologies
8. Payments & Subscriptions
Paid services:
- Are governed by signed agreements
- May be non-refundable
- May require 12-month commitments
Failure to pay may result in suspension or termination.
9. User Conduct
Users must not:
- Misrepresent their business
- Falsely claim Prime endorsement
- Attempt to manipulate evaluation
- Submit unlawful content
- Infringe intellectual property
- Interfere with system integrity
We may remove content or suspend accounts at our discretion.
10. Limitation of Liability
To the fullest extent permitted under Irish law, the Company shall not be liable for:
- Loss of profits
- Loss of business
- Indirect or consequential damages
- Third-party platform changes
- Algorithm updates
- Market competition
Total liability shall not exceed the amount paid by the user in the previous 12 months.
Nothing excludes liability for fraud or matters that cannot legally be excluded.
11. Suspension & Termination
We may suspend or terminate access if:
- Terms are breached
- Governance misuse is detected
- Payment defaults occur
- Platform integrity is threatened
Termination does not relieve outstanding financial obligations.
12. Data & Privacy
Data processing is governed by our Privacy Policy.
We comply with:
- GDPR
- Irish Data Protection legislation
Users are responsible for ensuring they have lawful rights to uploaded data.
13. Modifications
We may update these Terms at any time.
Continued use constitutes acceptance of revised Terms.
14. Governing Law
These Terms are governed by the laws of Ireland.
Disputes shall be subject to the exclusive jurisdiction of Irish courts.
15. Entire Agreement
These Terms, together with any signed agreements, constitute the entire agreement between the user and the Company.
